Terms of sale
We quote in USD against a proforma invoice, ship EXW or FOB Istanbul, and confirm a lead time per order. Nothing here replaces what your own proforma says.

Who you are buying from
Viaforta supplies air brake chamber diaphragms manufactured at our production partner’s facility in Istanbul, Türkiye. We sell to businesses — distributors, fleets and workshops — and not to consumers.
These terms apply to every quotation and order unless the proforma invoice for that order says otherwise. Where the two disagree, the proforma wins: it is the document both sides signed.
Quotations
A quotation states the price, the Incoterm, the currency and a lead time. A price without those four is not a quotation, and we will not send you one.
Quotations are valid for the period stated on them. Prices move with raw material cost and freight, so a quotation that has expired is re-issued rather than honoured by default.
Incoterms and currency
We quote EXW Istanbul or FOB Istanbul under Incoterms 2020. Other terms can be agreed and will then be named on the proforma.
All prices are in US dollars. Bank charges on your side are yours; charges on ours are ours.
Under EXW, risk passes when the goods are placed at your disposal at the agreed point. Under FOB, risk passes when the goods are on board the vessel. Insurance is yours to arrange under both.
Payment
Orders are confirmed against a proforma invoice. Payment is by bank transfer or by letter of credit; which one applies to your order is agreed before the proforma is issued.
Production is scheduled once payment terms are met as stated on the proforma. An order is not in the queue before that, and we will tell you plainly rather than let you assume it is.
Samples
We send up to ten pieces free of charge so you can test the part before committing. You pay the shipping.
Samples come from current production, not from a selected batch. Testing a sample that is not representative would waste your time and ours.
Lead time
Lead time is confirmed per order and stated on the proforma, because it depends on the sizes, the quantities and what is already scheduled.
Capacity at the facility is 20,000 units a month. If your volume does not fit into one month we will say so and give you a date, rather than quote a lead time we cannot hold.
Checking the shipment
Check the goods on arrival: the part, the count, and any damage in transit. Anything visible at that point is reported within 14 days with photographs, and we replace the parts and cover the freight both ways.
Faults and returns
A manufacturing fault that appears in service is covered for 6 months from delivery, limited to replacement of the faulty pieces. You send a sample for examination at your cost, refunded if the claim is upheld. You have a decision in writing within 10 working days of the sample reaching us.
Settlement is replacement parts or credit against your next order; a cash refund where replacement is not possible.

These terms are governed by Turkish law. The courts of Istanbul have jurisdiction.
Nothing here limits a liability that cannot be limited under the law that applies to you.
